Facts
- Wilkes sued Quinn, Riche, the First Agricultural National Bank of Berkshire County, MacShane, and Springside Nursing Home, Inc. for breaching a partnership agreement made in 1951 by terminating his salary and removing him as an officer and director of the corporation in 1967.
- The court found that the majority stockholders in Springside breached their duty of utmost good faith and loyalty to Wilkes when they removed him from the payroll and refused to reelect him as an officer and director without a legitimate business purpose.
- This breached Wilkes's fiduciary duty as a stockholder in a close corporation.
