The issue at hand is the conflict of authority in a partnership, and whether a previously stated restriction on financial responsibility by one partner can be overridden by the actions of the other partner in conducting business transactions.
Conclusion
The legal conclusion is that the purchases made by Freeman on behalf of the Food Center committed both Stroud and the partnership to the payment of the goods. Despite Stroud having expressed his non-liability, it was proved irrelevant since Freeman was legally allowed to make the purchases as it was an ordinary part of business operations.

- Stroud and Freeman were partners in a business called Stroud's Food Center.
- Despite having warned that he wouldn't be personally responsible for any more bread being sold, Freeman, unbeknownst to Stroud, continued to order and receive bread deliveries amounting to $171.04 from the plaintiff.
- Amidst this, the partnership was dissolved and all assets were transferred to Stroud for liquidation.
