- Franklin paid his premiums by mail from California to the company's Texas office until his death in 1950.
- Respondent refused to pay Franklin's beneficiary for his alleged suicide.
- Empire Mutual and respondent had no office or agent in California, and it is unclear if they conducted insurance business in California apart from this policy. The most relevant fact is that the insurance company did not have any connection with California apart from the contract.
