Facts
- Rothko was an acclaimed painter. The majority of his estate consisted of several hundred paintings. He left his estate in a trust with three executors, and his children were the beneficiaries. Soon after Rothko's death, the executors entered into sales contracts with two art galleries. Two of the three executors had a person pecuniary interest in the galleries with which they had contracts. Several of the paintings were sold at a price well below their value. The artist's children sued to have the executors removed, arguing that they had breached their fiduciary duty by entering into contracts with galleries in which they held a personal financial interest.
