Conclusion
The legal conclusion is that the Court of Chancery erred by excluding any value created during the transient period of a two-step merger by the majority acquiror. The Weinberger "liberalized approach" to appraisal should be used to determine the value of a minority shareholder's interest on the day of the merger, and the only relief available is a judgment against the surviving corporation for the fair value of the dissenters' shares.
